1. Introduction

Welcome to suryanshkushwaha.com and all related subpages, services, and content (collectively, the "Platform"). The Platform is owned and operated by Kushwaha & Co., a company registered in Lucknow, Uttar Pradesh, India ("we", "us", or "our").

By accessing or using the Platform, or by engaging with any of our services - Studio, Mentorship, or Hire Me opportunities - you ("you", "your", or "User") agree to be legally bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any other policies referenced herein.

If you do not agree to these Terms, you must immediately stop using the Platform and refrain from engaging any of our services.

These Terms form a binding contract between you and Kushwaha & Co. We may update them from time to time. Continued use of the Platform or our services after any changes constitutes your acceptance of the revised Terms.

2. Our Services

The Platform offers three distinct professional offerings under the Suryansh Kushwaha brand.

2.1 Studio

Custom software development, SaaS/MVP building, AI systems, workflow automation, operations software, chatbots, websites, and broader business software solutions. All Studio work is delivered under a separate written proposal or statement of work that outlines scope, deliverables, timelines, and fees.

2.2 Mentorship

One-on-one guidance, written reviews, video consultations, bundles, and access to free public resources (including YouTube videos) to support students and professionals with education, career, and relocation pathways to Singapore. Mentorship is provided on a packaged, paid basis as described on the Mentorship page.

2.3 Hire Me

Opportunities for full-time, contract, or consulting product-engineering roles (full-stack, AI, SaaS, and technical ownership). "Hire Me" is not a packaged service but a personal availability offering. Any engagement is governed by a separate employment or consulting agreement.

We do not provide legal, immigration, financial, tax, or regulatory advice. All information, guidance, deliverables, or discussions are for informational and educational purposes only. You are solely responsible for verifying information with official sources and qualified professionals before making any decisions.

We reserve the right to accept, decline, or modify any request at our sole discretion.

3. Pricing and Payment

• Mentorship: Packages, add-ons, and pricing are listed on the Mentorship page and calculated in the appropriate currency for your location (INR for India; USD, SGD, EUR, GBP, or AUD for other regions). All prices are inclusive of applicable taxes unless stated otherwise.
• Studio: Pricing is custom and provided only after consultation. Fees, milestones, and payment schedules are set out in the signed proposal or statement of work.
• Hire Me: Compensation and terms are defined entirely in the separate employment or consulting agreement.

You are responsible for providing accurate billing and payment information. We may suspend or cancel services if payment is not received by the due date.

4. Payment Processing

Payments are processed securely through:

• Cashfree (for India-based Mentorship transactions)
• Stripe (for international Mentorship transactions and Studio/Hire Me where applicable)
• Bank transfer or other mutually agreed methods for Studio and Hire Me engagements

All payment data is handled by the respective processors. We do not store full card details.

5. Refund and Cancellation Policy

Unless a separate written agreement states otherwise:

• Mentorship: All payments are non-refundable. Sessions, reviews, and bundles cannot be cancelled or refunded once purchased, except where required by applicable Indian consumer law. See our full Cancellation & Refund Policy for details.
• Studio: Refunds or cancellations are governed exclusively by the signed proposal or statement of work. Deposits and milestone payments are generally non-refundable once work has commenced.
• Hire Me: Refunds or cancellations are governed exclusively by the separate employment or consulting agreement.

6. Intellectual Property

All content on the Platform (text, images, code, videos, logos, branding, templates, and materials) is the exclusive intellectual property of Kushwaha & Co. or its licensors and is protected by Indian and international copyright, trademark, and other laws.

You may not copy, reproduce, modify, distribute, or commercially exploit any Platform content without our prior written consent.

Specific ownership rules by offering:

• Studio: Ownership of final deliverables transfers to you only upon full and final payment and according to the terms of the signed proposal. We retain the right to use anonymized project work in our portfolio and marketing unless explicitly prohibited in writing.
• Mentorship: All session notes, recordings (if any), guidance materials, and resources remain our intellectual property. You receive a limited, personal, non-transferable, non-exclusive license for your own use only.
• Hire Me: Ownership of any work product is defined entirely in the separate employment or consulting agreement.

7. User Conduct and Responsibilities

You agree not to:

• Use the Platform or services for any unlawful purpose
• Misrepresent your identity or intentions when contacting us
• Share confidential information obtained through any service without authorization
• Attempt to reverse-engineer, decompile, or circumvent any technical protections

You are solely responsible for all decisions made based on our services, including (but not limited to) university applications, visa filings, job offers, business launches, software deployments, or hiring decisions.

8. Disclaimers and No Warranties

The Platform and all services are provided "as is" and "as available" without any warranties, express or implied. We disclaim all warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

We make no guarantees regarding:

• Outcomes of Mentorship guidance (admissions, visas, jobs, housing, etc.)
• Success, revenue, or performance of any Studio project or product
• Hiring outcomes or employment terms in Hire Me opportunities
• Continuous availability of the Platform or any service

Third-party tools (AI models, payment gateways, Cal.com, YouTube, etc.) are subject to their own terms and policies.

9. Limitation of Liability

To the maximum extent permitted by law, Kushwaha & Co., its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, opportunities, or goodwill) arising out of or related to your use of the Platform or services, even if advised of the possibility of such damages.

Our total aggregate liability shall not exceed the total fees actually paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kushwaha & Co., its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your misuse of any service
• Any decisions or actions you take based on information or deliverables received from us
• Any third-party claims related to your projects, applications, or business activities

11. Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, war, terrorism, strikes, internet or infrastructure failures, government regulations, pandemics, or natural disasters.

12. Termination

We may suspend or terminate your access to the Platform or any ongoing services at any time for breach of these Terms, non-payment, or other good cause. Termination does not relieve you of payment obligations already incurred. No refunds are provided upon termination except as expressly agreed in writing.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Lucknow, Uttar Pradesh, India.

14. Age and Eligibility

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into this agreement. Mentorship services directed at students may require additional parental consent where required by law.

15. Miscellaneous

• These Terms constitute the entire agreement between you and us regarding the Platform and services, superseding any prior understandings.
• If any provision is held invalid, the remainder remains in full force.
• Our failure to enforce any right does not waive that right.
• You may not assign these Terms without our prior written consent; we may assign them freely.
